These Terms and Conditions (“Terms”) govern your access to and use of halolights.net (the “Website”), operated by Halo Lights, LLC, a Florida limited liability company based in Orlando, Florida (“Halo Lights,” “Company,” “we,” “us,” or “our”). By accessing or using this Website or purchasing products, you agree to be legally bound by these Terms. If you do not agree, discontinue use immediately.

 

1. ELIGIBILITY & ACCEPTANCE

You represent that you are at least 18 years old and legally capable of entering into a binding agreement. Use of this Website constitutes acceptance of these Terms and all applicable laws.

 

2. PRODUCTS & MODIFICATIONS

All products are subject to availability. We reserve the right to modify, discontinue, or change specifications, pricing, or availability without notice. Product descriptions and images are provided for informational purposes only and may contain minor inaccuracies.

 

3. PAYMENT PROCESSING

Payments are processed via Square and PayPal. By submitting payment information, you authorize the selected processor to charge the full amount. Halo Lights, LLC does not store complete payment credentials and is not liable for third-party processor failures, chargebacks, fraud, or system errors.

 

4. ALL SALES FINAL

ALL SALES ARE FINAL. NO REFUNDS, RETURNS, OR EXCHANGES EXCEPT AS REQUIRED BY APPLICABLE LAW.

 

5. ONE (1) YEAR LIMITED WARRANTY

Products include a one (1) year limited warranty covering manufacturing defects in materials and workmanship under normal intended use. This warranty applies only to the original purchaser and is non-transferable.

EXCLUSIONS INCLUDE BUT ARE NOT LIMITED TO: improper installation, failure to follow instructions, misuse, abuse, negligence, unauthorized modification, electrical surges, commercial misuse, cosmetic damage, normal wear and tear, acts of God, or purchase from unauthorized sellers.

CLAIM PROCESS: Email info@halolights.net with full name, shipping address, contact information, proof of purchase, purchase source, detailed issue description, and supporting media. Halo Lights reserves sole discretion to determine eligibility and remedy. Approved claims may result in repair, replacement, or comparable substitution. Customers may be responsible for shipping costs. Replacement does not extend the original warranty period.

DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED.

 

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALO LIGHTS, LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS, PROPERTY DAMAGE, OR PERSONAL INJURY. TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE OF THE PRODUCT.

 

7. INSTALLATION DISCLAIMER

Professional installation is strongly recommended. Halo Lights is not responsible for damages arising from improper installation or failure to comply with local, state, or federal codes.

 

8. ADA ACCESSIBILITY

9. DMCA POLICY

If you believe content infringes your copyright, submit a written notice including required DMCA elements to info@halolights.net. We reserve the right to remove infringing material and terminate repeat infringers. All images on this website are DMCA protected. 

 

10. CALIFORNIA CONSUMER RIGHTS

California residents may have additional rights under the Song-Beverly Consumer Warranty Act and California Civil Code §1789.3. Nothing in these Terms limits non-waivable rights.

 

11. BINDING ARBITRATION & CLASS ACTION WAIVER

All disputes shall be resolved through binding arbitration administered by the American Arbitration Association in Orange County, Florida. You waive the right to jury trial and class actions. Claims must be brought individually.

 

12. WHITE LABEL & LICENSING

Halo Lights, LLC may distribute certain products as a white label licensee. All patents, trademarks, intellectual property, and licensing rights remain with the original manufacturer or rights holder. Halo Lights claims no ownership of third-party intellectual property.

 

13. COMMERCIAL SALES & WHOLESALE DISTRIBUTION

Commercial purchasers, resellers, installers, distributors, and wholesale buyers (“Commercial Buyers”) are subject to additional terms.

(A) Minimum Order Requirements: Wholesale pricing may require minimum order quantities.

(B) No Consumer Protections: Commercial Buyers acknowledge that consumer protection laws may not apply to commercial transactions.

(C) Payment Terms: Unless otherwise agreed in writing, payment is due prior to shipment. Approved net terms may be revoked at any time. Late payments may incur interest at the maximum rate permitted by law.

(D) Risk of Loss: Risk of loss transfers to Commercial Buyer upon shipment from our facility. Shipping insurance is recommended.

(E) No Resale Misrepresentation: Distributors may not misrepresent product specifications, warranties, or intellectual property ownership.

(F) Indemnification by Commercial Buyers: Commercial Buyers agree to indemnify and defend Halo Lights, LLC against claims arising from resale, installation, marketing representations, or end-user disputes.

(G) Limitation of Remedies: For commercial transactions, remedies are strictly limited to product replacement at our discretion. Consequential damages are expressly disclaimed.

(H) Territory & Licensing Compliance: Wholesale partners must comply with all licensing, branding, and territorial restrictions imposed by original rights holders.

 

14. GOVERNING LAW

These Terms shall be governed exclusively by the laws of the State of Florida. Venue shall be in Orange County, Florida.

 

15. INDEMNIFICATION

You agree to indemnify and hold harmless Halo Lights, LLC from claims arising from misuse of products or violation of these Terms.

 

16. MODIFICATIONS

We reserve the right to update these Terms at any time. Continued use constitutes acceptance.
